In order to provide you with better services and clarify your rights and obligations in Yuan Jingcheng, please read this agreement carefully before submitting your application for settlement. Once you submit your application for settlement, it means that you have fully read, understood and agreed to accept the terms of the "Settlement Agreement".

1. Relevant definitions and explanations

1.1 Yuan Jingcheng platform: refers to the "Yuan Jingchengszyjc.com" open platform running on the "Yuan Jingchengszyjc.com" website. It is an e-commerce transaction service platform on the "Yuan Jingchengszyjc.com" website that provides users with information publishing, third-party operators to open stores, and other technical services.

1.2 Merchant registration and settlement: Merchant registration refers to merchants (or "sellers") who wish to become third-party operators of the "Yuan Jingcheng Platform" and complete online information submission according to the settlement process and requirements of the "Yuan Jingcheng Platform". After approval by "Yuan Jingcheng", merchants can use their own set Yuan Jingcheng Platform username and password to log in to the "Yuan Jingcheng Platform" to open a store and conduct business; merchant settlement, also known as "store settlement", refers to the process in which a third-party operator completes merchant registration, passes qualification review and meets the conditions for opening store services to become a third-party operator of the "Yuan Jingcheng Platform".

1.3 Store: After completing the merchant registration and merchant entry process, in order to conduct legal operations, the merchant applies for a networked virtual store with an independent and unique ID (abbreviation of IDentity in English, meaning "identity identification number") and a specific name (which can be adjusted according to relevant platform rules) approved by "Yuan Jingcheng" in accordance with the agreement and the rules of the Yuan Jingcheng platform. Merchants can open one or more stores according to business needs. Merchants can manage the store through the Yuan Jingcheng platform user name, including but not limited to product information upload, modification, deletion, transaction tracking, cancellation, etc.

2. Entry conditions and submission of supporting documents

2.1 Entry conditions: Merchants who apply to become merchants in the "Yuan Jingcheng Platform" and conduct business activities on the "Yuan Jingcheng Platform" must meet the following conditions:

2.1.1 The merchant has registered and obtained a legal and valid business license and other business licenses in accordance with the laws of the People's Republic of China or other national laws;

2.1.2 The source of the goods that the merchant applies to operate is legal and the qualifications are complete;

2.1.3 The merchant agrees to this agreement and the relevant rules of the Yuan Jingcheng Platform.

2.2 Submission of supporting documents

2.2.1 Merchants must submit supporting documents or other relevant certificates to Yuan Jingcheng in accordance with the relevant rules and requirements of the Yuan Jingcheng Platform, including but not limited to business licenses, tax registration certificates, brand authorization certificates, etc.

2.2.2 The merchant guarantees that the above-mentioned certification documents or other relevant certificates provided to Yuan Jingcheng are true, legal, accurate and valid, and guarantees that Yuan Jingcheng will be notified in time when any changes or updates occur to the above-mentioned certification documents or other relevant certificates. If the above-mentioned documents are changed or updated and the merchant fails to meet the entry conditions stipulated in this agreement, Yuan Jingcheng has the right to unilaterally restrict the merchant's operation in whole or in part until this agreement is terminated.

3. Opening and stopping of store services

3.1 For specific stores that the merchant intends to operate, Yuan Jingcheng will open services for the merchant within 7 working days after the merchant applies for store opening and meets the following conditions. Yuan Jingcheng will notify the merchant by email one working day before the service is officially opened.

3.2 After Yuan Jingcheng opens the service for the merchant, the merchant can use the Yuan Jingcheng platform user name and self-set password to log in to the merchant backend, upload and publish product information to the merchant's specific store according to the relevant rules and procedures of the Yuan Jingcheng platform, trade with users, and use other paid services agreed in this agreement, etc.

4. Rights and obligations of both parties

4.1 Yuan Jingcheng provides merchants with an e-commerce trading platform and corresponding technical support services in accordance with this Agreement, strives to maintain the normal and stable operation of the "Yuan Jingcheng Platform", and strives to improve and improve the technology, update and upgrade the platform functions and services, and continuously improve the platform performance and transaction efficiency.

4.2 Yuan Jingcheng actively responds to the problems encountered by merchants in the use of the "Yuan Jingcheng Platform" and the suggestions and opinions put forward, and can provide reasonable guidance and training for the use of the "Yuan Jingcheng Platform" according to the needs of merchants.

4.3 Yuan Jingcheng has the right to supervise and inspect the merchant's registration information, uploaded relevant data information, other information published on the "Yuan Jingcheng Platform" and transaction behaviors. For any illegal and irregular information and related content found, the merchant agrees that Yuan Jingcheng will delete it immediately without notice, and has the right to send inquiries and request corrections to the merchant for other problems or questions found. The merchant should make explanations or corrections immediately after receiving the notice. For the above-mentioned improper behavior of the merchant, Yuan Jingcheng has the right to pursue its breach of contract, infringement liability and/or terminate this agreement

5. Merchant Statement and Guarantee

5.1 Guarantee that the registration information submitted on the "Yuan Jingcheng Platform" is true, accurate, legal and valid, and guarantee to notify Yuan Jingcheng in time when the above information changes. The Yuan Jingcheng platform user name (store user name) obtained and used together with the self-set password shall be properly kept, and shall not be transferred or authorized to others without authorization, and shall be fully responsible for all activities conducted using the user name and password.

5.2 Guarantee that the product information published on the "Yuan Jingcheng Platform" is true and accurate, and complies with the Yuan Jingcheng Platform rules and relevant national laws and regulations.

5.3 Guarantee to operate in accordance with the product categories and brands approved by the "Yuan Jingcheng Platform", and shall not add or change product categories and brands without the confirmation of Yuan Jingcheng.

6. Confidentiality

Yuan Jingcheng and the Merchant shall have confidentiality obligations regarding the signing and content of this Agreement and the business secrets of the other party learned during the performance of this Agreement. Neither party shall disclose, give or transfer such confidential information to a third party (except affiliated companies) without the written consent of the other party.

6.1 The Merchant has registered and obtained a legal and valid business license and other business licenses in accordance with the laws of the People's Republic of China or other national laws;

6.2 The source of the goods applied for by the Merchant is legal and the qualifications are complete;

6.3 The Merchant agrees to this Agreement and the relevant rules of the Yuan Jingcheng platform.
